1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and zembyttor.click (“zembyttor.click,” “we,” “us,” or “our”), located at 4125 Fraser Street, Suite 204, Vancouver, BC V5V 4E9, Canada, and govern your access to and use of our website, booking platform, related communications, and any music studio rental services offered by zembyttor.click (collectively, the “Services”).

By accessing, browsing, booking, paying for, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you must not use the Services.

You represent that you are at least the age of majority in your province or territory of residence and are legally capable of entering into a binding contract under applicable law. If you are using the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Services

zembyttor.click provides music studio rental services, including online reservation management, access to studio spaces and related equipment as made available by us, and associated customer support. The exact scope, availability, features, capacity, and permitted uses of each studio booking may vary and are subject to the specific reservation confirmation, studio rules, posted house policies, and these Terms.

  • Studio reservations may be time-limited and subject to availability.
  • We may offer access to equipment, instruments, soundproofed rooms, recording tools, or other amenities, if and when available.
  • Any add-on services, staffing support, or technical assistance are provided only where expressly confirmed by us in writing.
  • We reserve the right to refuse service, deny access, or suspend bookings where necessary for safety, security, non-compliance, or operational reasons.

All services are provided subject to applicable studio rules, occupancy limits, technical requirements, age restrictions, and safety protocols. You are solely responsible for ensuring that your intended use of the studio is suitable for your needs.

3. User Obligations and Responsibilities

You agree to use the Services responsibly, lawfully, and in accordance with these Terms, all posted studio rules, and all applicable laws and regulations in Canada, including provincial and municipal requirements.

  • You must provide accurate, current, and complete information when booking or communicating with us.
  • You are responsible for maintaining the confidentiality of any account credentials and for all activities conducted under your account.
  • You must arrive on time and vacate the studio promptly at the end of your booking period.
  • You must use the studio and equipment only for lawful purposes and in a manner that does not damage property, disrupt others, or create safety hazards.
  • You must comply with all instructions from our staff, posted safety notices, and equipment usage guidelines.
  • You are responsible for the conduct of all persons you invite or allow into the studio during your booking.
  • You must immediately report any damage, malfunction, injury, security concern, or unauthorized access incident to us.

You shall not, and shall not permit any third party to:

  • Smoke, vape, use illegal drugs, or consume alcohol in violation of law or policy;
  • Bring prohibited items, hazardous substances, or dangerous equipment into the premises;
  • Overload electrical systems, interfere with building operations, or tamper with security, fire, or safety equipment;
  • Record or photograph individuals without consent where required by law;
  • Use the Services to infringe intellectual property rights, violate privacy rights, or engage in harassment, discrimination, or unlawful conduct.

You are liable for any damage, loss, cleaning costs, security incidents, or additional charges arising from your use of the Services, including acts or omissions of your guests, contractors, or collaborators.

4. Payment Terms and Conditions

Fees for studio rentals, deposits, add-ons, late charges, damage charges, cleaning fees, cancellation fees, and any other applicable amounts will be disclosed at the time of booking or otherwise communicated by us. All prices are in Canadian dollars unless stated otherwise.

  • Payment may be required in advance, at the time of booking, or upon arrival, depending on the service and booking terms.
  • You authorize zembyttor.click and our payment processors to charge your selected payment method for all applicable fees and charges.
  • Any applicable taxes, including GST/HST/PST or other sales taxes, will be charged as required by law.
  • Deposits, if collected, may be applied to unpaid fees, damages, excessive cleanup, overages, or other amounts owed under these Terms or the booking agreement.
  • If your payment fails or is reversed, we may cancel, suspend, or refuse your booking and may recover any associated costs.

We may update pricing from time to time. Updated pricing will not affect confirmed bookings already accepted by us unless expressly permitted by the applicable booking terms or required by law.

If you dispute a charge, you must contact us promptly at the contact information below. You agree not to initiate a chargeback without first giving us a reasonable opportunity to investigate and resolve the issue in good faith, except where required or permitted by law.

5. Cancellation and Refund Policy

Cancellation and refund eligibility depend on the booking type, timing, and any special terms communicated at the time of reservation. Unless otherwise stated in your booking confirmation, the following principles apply:

  • Cancellations made within the permitted cancellation window may be eligible for a full or partial refund, less any non-refundable processing or administrative fees, if applicable.
  • Late cancellations, no-shows, early departures, or unused booking time are generally non-refundable.
  • If you arrive late, your booking may still end at the originally scheduled time and may not be extended without availability and additional payment.
  • We may cancel or reschedule bookings due to maintenance, safety concerns, force majeure, staffing limitations, legal restrictions, or other operational necessities.
  • If we cancel a booking for reasons within our control, we will use commercially reasonable efforts to offer a reschedule or refund for the unused portion, as appropriate and required by law.

Refunds, when approved, will generally be processed using the original payment method within a reasonable period, subject to banking and payment processor timelines.

Any discretionary exceptions to this policy do not create a precedent or waive our rights under these Terms.

6. Liability Limitations

To the fullest extent permitted by applicable law, zembyttor.click and its directors, officers, employees, contractors, agents, licensors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services shall not exceed the greater of: (a) the amount you paid to zembyttor.click for the specific booking giving rise to the claim, or (b) CAD $100, unless a different limitation is required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that cannot legally be limited.

You acknowledge that music studio activities may involve noise, equipment use, physical movement, and other inherent risks. You assume all risks associated with your use of the premises, equipment, and Services, except to the extent caused by our gross negligence or wilful misconduct.

7. Intellectual Property Rights

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services solely for your personal or internal business booking purposes.

You must not copy, reproduce, modify, distribute, display, perform, publish, license, reverse engineer, or create derivative works from our intellectual property except as expressly permitted by law or with our prior written consent.

Any content, recordings, files, or materials you create in the studio remain your property or the property of the rightful owner, subject to any third-party rights and any separate agreement you may have with collaborators, performers, or rightsholders. You are solely responsible for obtaining all permissions, licenses, and clearances necessary for your recordings, performances, or other uses of the studio.

You grant zembyttor.click a limited license to use any reviews, feedback, or suggestions you submit for our lawful business purposes, including service improvement, marketing, and customer support, without compensation to you, unless prohibited by law.

In such circumstances, we may suspend, modify, reschedule, or cancel affected Services without liability except as required by applicable law.
